Affiliate Agreement

This Affiliate Agreement ("Agreement") is entered into between you ("Affiliate", "you") and CodeVibe ("Company", "we", "us") and governs your participation in the CodeVibe Affiliate Program ("Program"). By enrolling in the Program, you agree to be bound by this Agreement and the CodeVibe Terms of Service.

1. Program Overview

The CodeVibe Affiliate Program allows eligible users to earn recurring commissions by referring new paying customers to CodeVibe. Affiliates receive a unique referral code and tracking link. When a referred visitor creates an account and subscribes to a paid plan, the affiliate earns a commission on each payment for as long as the referred customer maintains an active subscription.

The Program operates on a two-tier model, allowing affiliates to earn additional commissions when their direct referrals also become affiliates and generate paying customers.

2. Eligibility

To participate in the Affiliate Program, you must:

  • Be a paying customer — You must have an active, paid CodeVibe subscription (Pro, Business, or Enterprise). Free-tier and trial users are not eligible to participate.
  • Have a CodeVibe account in good standing — Your account must not have any outstanding policy violations or billing disputes.
  • Complete Stripe Connect onboarding — You must connect a Stripe account to receive commission payouts. This includes identity verification as required by Stripe.
  • Be at least 18 years old — Or the legal age of majority in your jurisdiction.

We reserve the right to approve or decline affiliate applications at our sole discretion. Eligibility may be revoked at any time if you no longer meet the above criteria.

3. Commission Structure

Tier 1 — Direct Referrals

You earn 40% recurring commission on every payment made by a customer you directly refer. This commission applies to all subscription payments for the lifetime of the referred customer's subscription, including upgrades and renewals.

Tier 2 — Second-Tier Referrals

You earn 5% recurring commission on every payment made by customers referred by your direct referrals (i.e., your affiliates' referrals). Tier 2 commissions are also lifetime recurring.

Commission Calculation

Commissions are calculated as a percentage of the net payment amount (after any platform fees, refunds, or chargebacks). Commissions for refunded or disputed transactions will be reversed. Custom commission rates may be negotiated on a case-by-case basis for high-volume affiliates.

4. Payment Terms

  • Minimum payout threshold — Commissions are payable once your pending balance reaches $100.00 USD. Balances below this threshold roll over to the next payout cycle.
  • Holding period — All commissions are subject to a NET-30 holding period from the date they are earned. This allows for refunds, chargebacks, and fraud review before commissions become payable.
  • Payout method — Payouts are processed exclusively through Stripe Connect. Funds are transferred to your connected Stripe account and typically arrive within 2–3 business days.
  • Currency — All commissions are calculated and paid in US Dollars (USD).
  • Tax responsibility — You are solely responsible for reporting and paying any taxes owed on commission income. CodeVibe may issue 1099 forms as required by US tax law for affiliates who earn over $600 in a calendar year.

5. Cookie Duration and Attribution

When a visitor clicks your referral link, a tracking cookie (cv_ref) is set in their browser with a 60-day duration. If the visitor creates an account and subscribes within 60 days of clicking your link, the referral is attributed to you.

Attribution uses a last-touch model: if a visitor clicks multiple affiliate links, the most recent affiliate link takes priority. If a visitor clears their cookies or uses a different browser/device, attribution may not be possible.

6. Prohibited Activities

As an affiliate, you agree not to engage in the following:

  • Spam — Sending unsolicited emails, messages, or communications to promote your referral link. This includes purchasing email lists, mass messaging on social media, or any form of communication that violates CAN-SPAM, GDPR, or equivalent regulations.
  • Misleading claims — Making false, exaggerated, or unsubstantiated claims about CodeVibe, its services, features, pricing, or earning potential. All promotional materials must be truthful and accurate.
  • Trademark misuse — Using the CodeVibe name, logo, or branding in a manner that implies official endorsement, partnership, or employment. You may not register domain names or social media handles that include "CodeVibe" or confusingly similar variations.
  • Paid search bidding — Bidding on "CodeVibe" or similar branded keywords in search engine advertising (Google Ads, Bing Ads, etc.) without prior written approval.
  • Self-referrals — Referring yourself, creating multiple accounts to earn commissions, or using your referral link for your own purchases.
  • Cookie stuffing — Forcing the affiliate cookie onto visitors without their knowledge or consent, including through hidden iframes, pop-unders, or malicious scripts.
  • Incentivized clicks — Offering cash, gifts, or rewards to individuals solely for clicking your referral link or signing up without genuine intent to use the service.
  • Illegal activity — Promoting CodeVibe through any means that violate local, state, national, or international laws.

Violation of any of the above may result in immediate termination from the Program, forfeiture of unpaid commissions, and potential legal action.

7. Affiliate Content and Promotion

You are responsible for all content you create to promote CodeVibe. You must clearly disclose your affiliate relationship in accordance with FTC guidelines and any applicable local regulations. A simple disclosure such as "I may earn a commission if you sign up through my link" is acceptable.

We may provide promotional materials, banners, and copy for your use. You may create your own promotional content provided it is accurate, not misleading, and complies with this Agreement.

8. Termination

Either party may terminate this Agreement at any time, for any reason, with written notice. Upon termination:

  • You must immediately cease all use of CodeVibe branding and promotional materials.
  • You must remove or deactivate all affiliate links within 30 days.
  • Earned commissions that have cleared the NET-30 holding period and meet the minimum payout threshold will be paid within 60 days of termination.
  • Pending commissions below the minimum threshold or within the holding period are forfeited upon termination for cause (e.g., policy violation). Commissions are paid out in full upon termination without cause.

We reserve the right to terminate your participation immediately and without notice if you violate this Agreement, engage in fraudulent activity, or bring the CodeVibe brand into disrepute.

9. Limitation of Liability

CODEVIBE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR PARTICIPATION IN THE AFFILIATE PROGRAM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Modifications

We may modify this Agreement, including commission rates, payment terms, and program rules, at any time. We will provide at least 30 days' notice of material changes via email. Commissions earned before the effective date of any modification will be honored at the rate in effect when they were earned. Your continued participation in the Program after changes take effect constitutes acceptance of the modified terms.

11. Relationship of Parties

You are an independent contractor, not an employee, partner, or agent of CodeVibe. Nothing in this Agreement creates an employment, partnership, or joint venture relationship. You have no authority to make commitments or enter into agreements on behalf of CodeVibe.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and take place in Delaware, unless the parties agree otherwise.

13. Entire Agreement

This Agreement, together with the CodeVibe Terms of Service and Privacy Policy, constitutes the entire agreement between you and CodeVibe regarding the Affiliate Program. It supersedes any prior agreements, understandings, or representations regarding the subject matter herein.
