Terms of Service

1. Acceptance of Terms

By accessing or using the CodeVibe platform ("Service"), located at codevibe.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you ("User", "you") and CodeVibe ("Company", "we", "us").

We reserve the right to update or modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the revised Terms. We will notify you of material changes via email or a prominent notice on the Service.

2. Description of Service

CodeVibe is a software-as-a-service (SaaS) platform that provides:

  • Training Content — Free and premium video-based courses on AI-assisted development ("vibe coding"), prompt engineering, and building software with AI tools.
  • AI Coding Tool — A v0-powered code generation tool that allows users to describe applications in natural language and receive production-ready code.
  • Affiliate Program — A referral program allowing eligible users to earn commissions by referring new paying customers.
  • Mastermind Program — Premium mentorship tiers offering group and private coaching, project reviews, and community access.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for safeguarding your password and for all activities that occur under your account.

You must be at least 18 years old or the legal age of majority in your jurisdiction to create an account. You may not create multiple accounts for the purpose of abusing promotions, free trials, or credit allocations. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Billing

CodeVibe offers subscription plans ("Plans") with varying levels of AI credits and features. By subscribing to a Plan, you authorize us to charge your designated payment method on a recurring basis at the applicable rate. All payments are processed through Stripe.

Subscription fees are billed in advance on a monthly basis. Prices are quoted in US Dollars and are exclusive of applicable taxes. We reserve the right to change Plan pricing upon 30 days' written notice. Price changes will take effect at the start of the next billing cycle following the notice.

5. Free Trials

We may offer a free trial period for new users. The trial provides limited AI credits to evaluate the AI coding tool. At the end of the trial period, your account will revert to the free tier unless you subscribe to a paid Plan. We reserve the right to modify or discontinue trial offers at any time.

Trial access is limited to one per individual. Creating multiple accounts to obtain additional trial access is a violation of these Terms and may result in termination of all associated accounts.

6. Credits

AI credits ("Credits") are allocated based on your subscription Plan and are used when interacting with the AI coding tool. Credits reset at the beginning of each billing cycle and do not roll over. Unused credits expire at the end of each billing period.

Credit consumption varies based on the complexity of prompts and the volume of generated output. You can monitor your credit usage in the account settings. Additional credits may be purchased as add-ons where available.

7. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation, your subscription will remain active until the end of the current billing period. You will not be charged for subsequent periods.

Refunds are generally not provided for partial billing periods. In exceptional circumstances, refund requests may be considered on a case-by-case basis. Mastermind program payments are non-refundable once the enrollment period has begun, except as required by applicable law.

8. Affiliate Program

The CodeVibe Affiliate Program is available to eligible users as described in the Affiliate Agreement. Participation is subject to additional terms, including commission rates, payment terms, and prohibited activities. The Affiliate Agreement is incorporated by reference into these Terms.

We reserve the right to modify the Affiliate Program, including commission rates and eligibility requirements, at any time with reasonable notice. Commissions earned prior to any modification will be honored at the rate in effect at the time they were earned.

9. Intellectual Property

The Service, including all content, features, software, training materials, branding, and design elements, is owned by CodeVibe and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

The training content is licensed, not sold, to you for personal, non-commercial use. You may not redistribute, resell, or publicly display training videos or course materials. Your access to training content is contingent upon maintaining an active account in good standing.

10. User Content and Generated Code

You retain ownership of prompts you submit to the AI coding tool ("User Content"). You also retain ownership of code generated by the AI tool in response to your prompts ("Generated Code"), subject to the following conditions:

  • Generated Code is provided "as is" without warranties of any kind.
  • You are solely responsible for reviewing, testing, and deploying any Generated Code.
  • CodeVibe is not liable for any damages, losses, or legal claims arising from your use of Generated Code.
  • We may use anonymized, aggregated data from interactions to improve the Service.

11. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right.
  • Generate malicious code, malware, or code intended to harm or exploit.
  • Attempt to circumvent usage limits, credit allocations, or security measures.
  • Engage in automated, systematic data collection (scraping, mining) without consent.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Interfere with or disrupt the Service or its underlying infrastructure.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODEVIBE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO CODEVIBE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless CodeVibe and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) your User Content or Generated Code.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CODEVIBE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English. The arbitration shall take place in Delaware, unless the parties agree otherwise.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

17. Changes to Terms

We may revise these Terms at any time by posting an updated version on our website. Material changes will be communicated via email to the address associated with your account at least 30 days before they take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes.
